COPPER CREEK RE‐PRICES PRIVATE PLACEMENT AND SHARES FOR DEBT
News Release, December 22, 2017, Vancouver, British Columbia– Copper Creek Gold Corp.;
TSXV:‐CPV (the “Company” ) a n n o u n c e s t h a t f u r t h e r t o t h e C o m p a n y ’ s n e w s r e l e a s e d a t e d
December 11, 2017 and the pricing requirements of the TSX Ventu re Exchange (“Exchange”),
the Company has re‐priced its previously announced non‐brokered Private Placement.
The Company is now issuing 21,8 75,000 units (“Units) at a price of $0.08 per Unit for gross
proceeds of $1,750,000. Each Unit is comprised of one common s hare of the Company and
one share purchase warrant. Each whole warrant will entitle th e holder thereof to purchase
one additional common share of the Company at an exercise price of $0.08 pe r share, for a
period of two years from closing, subject to Exchange approval.
F i n d e r ’ s f e e s w i l l b e p a i d i n c o n n e c t i o n w i t h t h e p r i v a t e p l a c ement and all finder’s fees
payable are subject to Exchange approval.
The proceeds of the Private Placement will be used for new proj ect due diligence and
acquisition, exploration and for general working capital purposes.
The Company is also repricing is previously announced shares for debt transaction. The
Company has agreed to settle its debt obligations with certain creditors of the Company in
the amount of up to $205,000 thro ugh the issuance of up to 1,56 2,500 units of the Company
at a price of $0.08 per unit (“Unit”) and up to 1,000,000 commo n shares of the Company at a
price of $0.08 per common share. Each Unit is comprised of one common share of the
Company and one share purchase warrant. Each whole warrant wil l entitle the holder
thereof to purchase one additional common share of the Company at an exercise price of
$0.08 per share, for a period of two years from closing, subject to Exchange approval.
A l l s e c u r i t i e s i s s u e d i n c o n n e c t i o n w i t h t h e p r i v a t e p l a c e m e n t and shares for debt
transactions are subject to a four month and a day hold period in accordance with applicable
Securities Laws.
