") is pleased to announce that, in connection with its previously announced private
placement financing, the Company and a syndicate of agents led by Haywood Securities Inc., and
Cormark Securities Inc., as joint bookrunners, and together with Sprott Capital Partners LP
(together, the "
Co-Leads
") as co-lead agents, in each case on behalf of themselves and on behalf
of a syndicate of agents including PI Financial Corp., Industrial Alliance Securities Inc., and
Paradigm Capital Inc. (together with the Co-Leads, the "
Agents
"), have agreed to increase the size
of the flow-through offering to up to 6,820,000 flow-through special warrants (the "
FT Special
Warrants
") at a price of
$1.10
per FT Special Warrant (the "
FT Issue Price
") for aggregate gross
proceeds of approximately
$7.5 million
(the "
FT Offering
"). In addition to the previously announced
bought deal offering (the "
NFT Offering
" and together with the FT Offering, the "
Offering
") the
gross proceeds to the Company will total up to approximately
$17.5 million
.
Each FT Special Warrant will be exercisable to acquire one flow-through Common Share of the
Company (each a "
FT Share
"). The FT Shares will qualify as flow-through shares as defined in the
Income Tax Act (
Canada
)
.
The FT Special Warrants will be exercisable by the holders thereof at any time after the Closing
Date for no additional consideration and all unexercised FT Special Warrants will be deemed to be
exercised and surrendered, without any further action or payment of additional consideration by the
holder thereof, at
5:00 p.m.
(
Toronto
time) on the earlier of: (a) the date that is four months and a
day following the Closing Date; and (b) the fifth business day after a receipt is issued for a (final)
prospectus (the "
Final Qualification Prospectus
") by the securities regulatory authorities in each of
the provinces of
Canada
, excluding
Quebec
, qualifying for distribution the FT Shares. The Company
will use commercially reasonable efforts to obtain such receipt on or prior to
April 15
, 2021. Until a
receipt is issued for the Final Qualification Prospectus, the FT Special Warrants (and any FT Shares
issued on exercise thereof) will be subject to a hold period under applicable Canadian securities
laws expiring on the date that is four months and a day following the Closing Date.
The gross proceeds from the sale of the FT Special Warrants will be used by the Company to incur
eligible "Canadian exploration expenses" that qualify as "flow-through mining expenditures" (within
the meaning of the
Income Tax Act
(
Canada
)), related to the Company's Goliath Gold Complex
projects in Ontario. The Company has agreed to renounce such Canadian exploration expenses with
an effective date of no later than December 31, 2021, in an aggregate amount of not less than the
total amount of the gross proceeds raised from the issuance of FT Shares.
Closing of the Offering is expected to occur on or about
March 10, 2021

Closing Date
") and is
subject to certain customary conditions, including, but not limited to, the receipt of all necessary
regulatory approvals and acceptance of the TSX.
The FT Special Warrants to be issued under the Offering will be offered by way of private
placement exemptions in all the provinces of
Canada
and in
the United States
on a private placement
basis pursuant to exemptions from the registration requirements of the United States Securities Act
of 1933, as amended (the "
U.S. Securities Act
").
