/CNW/ - Nevada Sunrise Gold Corporation ("Nevada Sunrise" or
the "Company") (TSXV: NEV) is pleased to announce the closing of its previously-announced private
placement (the "Offering") consisting of 3,499,999 units (the "Units") at a price of
$0.18
per Unit,
each Unit consisting of one common share of the Company and one-half of one common share
purchase warrant for gross proceeds of
$630,000
. Each whole warrant (a "Warrant") will entitle the
holder to purchase one common share at a price of
$0.30
for a period of two years from closing of
the Offering, expiring on
September 16, 2022
.
All securities issued in the Offering are subject to a four–month hold period, until
January 17, 2021
,
during which time the securities may not be traded. The securities described herein have not been
registered under the U.S. Securities Act of 1933, as amended, and may not be offered or sold in
the
United States
unless registered under the Act or unless an exemption from registration is available.
In connection with the Offering, the Company paid finders' fees of 7% cash totaling
$17,661
, and
issued 7% finder's warrants totaling 98,116 Warrants exercisable for one common share at a price
of
$0.30
for a period of two years from closing of the Offering, expiring on
September 16, 2022
.
Closing of the Offering is subject to the final acceptance of the TSX Venture Exchange.
Proceeds of the Offering will be used for exploration on the Company's
Nevada
mineral exploration
projects and for general working capital.

Nevada Sunrise owns 100% interests in the Jackson Wash and Gemini lithium projects, both of
which are located in
Esmeralda County
. The Company owns Nevada water right Permit 44411,
located within the Clayton Valley basin near Silver Peak,
Nevada
