/CNW/ - Nevada Sunrise Gold Corporation ("Nevada Sunrise" or
the "Company") (TSXV: NEV) is pleased to announce the closing of its previously-announced private
placement (the "Offering") consisting of 7,000,000 units (the "Units") at a price of
$0.03
per Unit,
each Unit consisting of one common share of the Company and one common share purchase
warrant (a "Warrant") for gross proceeds of
$210,000
. Each Warrant will entitle the holder to
purchase one common share at a price of
$0.05
for a period of two years from closing of the
Offering, expiring on
July 10, 2022
.
All securities issued in the Offering are subject to a four–month hold period, until
November 11,
2020
, during which time the securities may not be traded. The securities described herein have not
been registered under the U.S. Securities Act of 1933, as amended, and may not be offered or sold
in
the United States
unless registered under the Act or unless an exemption from registration is
available. No finder's fees were paid in conjunction with the Offering. Closing of the Offering is
subject to the acceptance of the TSX Venture Exchange.
