Northisle Announces Additions to Board and Advisory T eam

Vancouver, B.C. – Northisle Copper and Gold Inc. (TSX-V: NCX, OTCQX: NTCPF) (“Northisle” or the “Company”) is

pleased to announce several additions to its Board of Directors and advisory team, including:

• Gerardo Fernandez – Director

• Dr. Gillian Davidson – Strategic Advisor

• Maurice Tagami – Process Design and Metallurgical Advisor

Alex Davidson, Chairman, commented “I am excited to welcome Gerardo Fernandez, Gillian Davidson, and Maurice

Tagami to the Northisle team. Gerardo is a highly experienced executive with a track record of successful execution

across both corporate and operational roles in the mining sector. He will bring valuable insight to the Board as we

continue to advance Northisle’s dual focus on value through project development and growth through exploration.

Gillian brings more than 25 years of experience in sustainability and will be an invaluable resource to our team as

we advance the North Island Project through the permitting process in BC, while maintaining our focus on building

meaningful, long -term relationships with First Nations and local communities. Maurice has over 40 years of

experience in mining and mineral processing and we are privileged to be able to draw on his expertise as we continue

to further optimize and de-risk the North Island process design.”

Alex Davidson continued “Northisle continues to attract exceptional talent. The strength and breadth of our team is

advance our North Island Project.”

Gerardo Fernandez is currently the Chief Development Officer of Allied Gold Corporation and serves on the Board

of Directors of Silver Mountain Resources Inc. Mr. Fernandez was previously Senior Vice President, Corporate

Development of Yamana, having worked in several leadership positions in operations, strategic planning , and

project development. Mr. Fernandez holds a Masters of Business Administration (Nevada, USA) , degrees in Civil

Mining Engineering, and a BSc. Engineering from the University of Chile.

Dr. Gillian Davidson has over 25 years of experience as an internal and external advisor regarding sustainability,

ESG, and responsible supply chains. Dr. Davidson was the Head of Mining and Metals for the World Economic Forum

from 2014 to 2017, where she led global and regional engagement and multi -stakeholder initiatives to advance

responsible and sustainable mining. From 2008 to 2014, she was Director of Social Responsibility at Teck Resources

Limited and previously held senior roles related to community development, environment, and natural resources as

a consultant and in government. Dr. Davidson has an Honours Master of Arts in Geography from the University of

Glasgow, a PhD in Development Economics and Geography from the University of Liverpool, and is an alumna of the

Governor General of Canada's Leadership Conference. Dr. Davidson is the chair of Global Battery Alliance and

serves on the Board of Directors of Lundin Gold Inc. She was a former non-executive director of New Gold Inc. until

its acquisition in 2026.

Maurice Tagami has over 40 years of experience in mining and mineral processing. Mr. Tagami holds a degree in

Metallurgical Engineering from the University of British Columbia and is a Professional Engineer with APEGBC and a

Fellow of the Canadian Institute of Mining . During his career, Maurice has had extensive mining operations,

engineering and design, start -up and commissioning, project development, project management , and strategic

planning experience. Maurice is a proven Independent Board Director of publicly traded companies with a strong

background and experience in technical matters, corporate governance, ESG , and financial oversight, driving

organizational growth through innovative strategies and effective leadership. Mr. Tagami currently serves on the

Board of Directors of Freegold Limited.

Issuance of Share-based Compensation

Northisle also announces that the Company’s Board of Directors has approved the issuance of 212,300 stock

options (the “Options”) pursuant to the Company’s incentive stock option plan (the “Stock Option Plan”). The

Options provide for the purchase of an aggregate of 212,300 common shares of the Company (the “Common

Shares”) at an exercise price of $ 4.28 per share, which is the closing price for the Common Shares on the TSX

Venture Exchange as of August 24, 2026 . All of the Options have a 5 -year term . 30,000 Options have a vesting

schedule of 50% on grant and 50% on the one-year anniversary, while the balance vest one third per year

commencing on August 24, 2027.

The Board of Directors has also approved the issuance of 26,700 Deferred Share Units (the “DSUs”) to Eligible

Directors, pursuant to the Company’s Share Unit Plan (the “Share Unit Plan”). The DSUs will vest on August 24, 2027.

SEDAR+.
