PINECREST ANNOUNCES $1,501,500 PRIVATE PLACEMENT

March 20, 2017 TSX-V: PCR

Vancouver, British Columbia: Pinecrest Resources Ltd. (TSX -V: PCR) (the “Company” or “Pinecrest”) is

pleased to announce that it intends to conduct a non- brokered private placement of up to 7,150,000 common

shares (“Shares”) of the Company at a price of $0.21 per Share for gross proceeds of up to $1,501,500 (the

“Private Placement”). The proceeds of the Private Placement will be used to advance the exploration and

development of the Company’s 100% owned Enchi Gold Project in Ghana and for general working capital

purposes.

All shares issued pursuant to the Private Placement will be subject to a hold period expiring four months and a

day following the date of issue. No finder’s fee will be payable on the Private Placement.
