Item 5.1: FULL DESCRIPTION OF MATERIAL CHANGE

Montreal Quebec, May 25, 2021 – The management of Mosaic Minerals Corp. (“Mosaic” or the

“Company”) (CSE: MOC) announces:

Lichen Base Metals Property Option Closed

Further to Mosaic’s news release of May 19, 2017 the Option Agreement with Bullion Gold

Resources Corp. (“Bullion”) providing for an earn-in of up to 100% interest in the Lichen Base

Metals Property comprised of 178 cells totaling approximately 9,968 hectares located in the

Chapais-Chibougamau area of northern Quebec has closed.

Pursuant to the May 18, 2021 Earn-in Option Agreement Mosaic may earn up to an 100%

interest in the Lichen Base Metal Property by issuing to 3,000,000 shares to Bullion and

incurring $450,000 of exploration expenditures by June 30, 2124. (For more complete details

see May 19, 2021 news release). The 3,000,000 shares were issued May 24, 2021.
