Inomin Announces Non-Brokered Private Placement
Vancouver, British Columbia, May 22, 2025 – Inomin Mines Inc. (TSX.V: MINE) (“Inomin” or the “ Company”)
announces a non -brokered private placement of securities to raise total gross proceeds up to $ 200,000 (the
“Financing”). The Financing will be comprised of non -flow-through units (the “ NFT Units”) to be sold at a price of
$0.035 per NFT Unit.
Each NF T Unit will be comprised of one common share of the Company (a “ Share”) and one common share
purchase warrant (a “Warrant”). Each Warrant will entitle the holder thereof to purchase one additional Share for a
period of two (2) years from the date of issuance at an exercise price of $0.05 per Share. A maximum of 10,000,000
NFT Units will be issued in the Financing.
The Company will make the Financing available to existing shareholders of the Company pursuant to British

the investment and, if the shareholder is resident in a jurisdiction of Canada, that advice has been obtained from a
person that is registered as an investment dealer in the jurisdiction. If the Company receives subscriptions from
investors relying on the Existing Shareholder Exemption exceeding the maximum amount of the Financing, the
Company intends to adjust the subscriptions received on a pro rata basis.
Inomin intends to allocate the gross proceeds raised from the sale of the NFT Units as follows: 50% for general
working capital; 35% to pay non -arm’s length management and geological service fees ; 10% for investor relations
activities; and 5% for property evaluations.

be subject to a hold period expiring four months and one day from the date of issuance. Completion of the Financing
and the payment of any finders’ fees remain subject to the receipt of all necessary regulatory approvals, including the
approval of the TSXV.
