VICTORY RESOURCES ANNOUNCES CLOSING OF FINANCING
VANCOUVER, BC, CANADA ( March 8, 2021 ) – Victory Resources Corporation (CSE: VR) (FWB:
VR61) (OTC: VRCFF) (“Victory” or the “Company”) is pleased to announce it has completed its
previously announced non -brokered private placement (the “Financing”). T he Company r aised proceeds
of $622,800 through the sale of 8,304,001 units. The Company paid finders fees to qualified finders of
$28,464 and issued 379,520 broker warrants, which are on the same terms as the warrants forming part
of the units. Securities issued as a result of closing of the Financing will be subject to a statutory hold
period until July 9, 2021.
Each unit consists of one common share in the equity of the Company and one common share purchase
warrant (a “Warrant”). Each Warrant entitles the holder to purchase one additional common share of the
Company at a price of $0.08 per share until March 8 , 2023, subject to the optio n of the Company to
accelerate the expiry date in the event that its shares trade at $0.15 or more for 10 consecutive days.
The Corporation intends to use the proceeds for general working capital, acquisitions and work programs
on the Company’s existing exploration properties in Nevada and British Columbia, and any additional
properties the Company may acquire.
