Lake Winn Provides Update with Respect to Its Private Placement
LAKE WINN PROVIDES UPDATE WITH RESPECT TO ITS PRIVATE PLACEMENT
Vancouver, British Columbia – September 18, 2024 – Lake Winn Resources Corp. (TSXV: LWR, FSE: EE1A)
(the “Company”) announces, further to its news release of dated August 23, 2024, that the Company is
closing its non brokered private placement (the “ Offering”) of units of the Company (the “ Units”). Each
Unit was offered at a price of $0.05 per Unit for gross proceeds of $244,000 Each Unit consisted of one
common share in the capital of the Company (a “Share”) and one Share purchase warrant (a “Warrant”).
Each Warrant is exercisable to purchase an additional Share (a “ Warrant Share”) at an exercise price of
$0.08 per Warrant Share for a period of 24 months after the date of issuance.
The Company closed tranche one of the Offering on June 14, 2024 (3,680,000 Units for gross proceeds of
$184,000) and tranche two of the Offering closed on July 30, 2024 (1,200,000 Units for gross proceeds of
$60,000). The Company is not proceeding with a third tranche.
All securities issued in connection with the Offering are subject to a statutory hold period of four months
plus a day from the date of issuance in accordance with applicable securities laws. The Company used the
full amount of the proceeds raised from the Offering to pay outstanding accounts payable.
