LAKE WINN ANNOUNCES PRIVATE PLACEMENT
Vancouver, British Columbia – August 25, 2025 – Lake Winn Resources Corp.
(TSXV: LWR, FSE: EE1A) (the “ Company”) announces that it is conducting a non-
brokered private placement (the “ Offering”) of up to 12,727,273 units (the “Units”) at a
price of $0.055 per Unit, for gross proceeds of up to $700,000.
Each Unit will consist of one common share in the capital of the Company (a “ Share”)
and one Share purchase warrant (a “ Warrant”). Each Warrant will be exercis able to
purchase an additional S hare (a “ Warrant Share”) at an exercise price of $0.08 per
Warrant Share for a period of 24 months after the date of issuance.
The Company intends to use the net proceeds from the Offering for exploration costs
related to the Company’s Little Nahanni project and for general working capit al and
administrative expenses.
Closing is subject to a number of prescribed conditions, including, without limitations,
approval of the TSXV. The securities to be issued under the Offering will be offered by
way of private placement in the provinces of British Columbia, Alberta and Ontario and
such other provinces or territories of Canada as may be determined by the Company, in
each case, pursuant to applicable exemptions from the prospectus requirements under
applicable securities laws. Securities issued under the Offering will be subject to a four -
month hold period which will expire four months and one day from the date of closing of
the offering.
The Company may pay finder’s fees on the offering within the amount permitted under
the policies of the TSXV.
