LAKE WINN ANNOUNCES PRIVATE PLACEMENT

Vancouver, British Columbia – September 10, 2026 – Lake Winn Resources Corp.

(TSXV: LWR; FSE: EE1A) ("Lake Winn" or the "Company") is pleased to announce a

non-brokered private placement (the "Offering") consisting of up to 3,000,000 units (the

"Units") at a price of $0.06 per Unit for aggregate gross proceeds of up to $180,000.

Offering and Half Warrants

Each Unit will consist of one common share of the Company (a “Share”) and one-half

of one common share purchase warrant of the Company (each whole common

share purchase warrant, a “Warrant”). Each Warrant will entitle the holder thereof to

acquire one common share of the Company (a “Warrant Share”) at a price per Warrant

Share of $0.10 for a period of sixty (60) months from the date of issuance.

Use of Proceeds

The Company intends to use the net proceeds from the Offering for general working

capital.

Finder’s Fees

The Company may pay finder’s fees in connection with the Offering to certain eligible

arm’s-length finders, within the amount permitted under the policies of the TSX Venture

Exchange (the “TSXV”).

Approvals and Regulatory Matters

Completion of the Offering is subject to the receipt of all necessary approvals, including

acceptance of the TSXV. The Offering may be completed in one or more tranches.

The Shares and Warrants comprising the Units (and the Warrant Shares issuable upon

exercise of the Warrants) will be subject to a statutory hold period pursuant to

applicable Canadian securities laws ending four months and one day following the date

of issuance.
