LAKE WINN ANNOUNCES EXTENSION TO PRIVATE PLACEMENT

Vancouver, British Columbia – June 25, 2024 – Lake Winn Resources Corp. (TSXV: LWR, FSE: EE1A) (the

“Company”) announces that the TSX Venture Exchange (the “ Exchange”) has granted an extension until

July 26, 2024, for the completion of the Company’s non -brokered private placement (the “ Offering”),

previously accounted in the Company’s May 23, 2024 news release.

The terms of the Offering provide for the issuance of up to 70,000,000 units of the Company (the “Units”)

at a price of $0.05 per Unit, for gross proceeds of up to $3,500,000. On June 14, 2024, the Company closed

the first tranche of the Offering, raising gross proceeds of $1 84,000 through the issuance of 3 ,680,000

Units. The Company expects to close a second tranche of the Offering in the coming weeks.

Each Unit will consist of one common share in the capital of the Company (a “Share”) and one Share

purchase warrant (a “Warrant”). Each Warrant is exercisable to purchase an additional Share (a “Warrant

Share”) at an exercise price of $0.08 per Warrant Share until the date that is 24 months from the date of

issuance.

The Company intends to use the net proceeds of the Offering as disclosed in its May 23, 2024 news

release. Completion of the Offering remains subject to the receipt of all necessary regulatory approvals,

including the approval of the Exchange. The securities issued pursuant to the Offering will be subject to a

statutory hold period as required by applicable securities legislation.
