LAKE WINN ANNOUNCES CLOSING OF SECOND TRANCHE OF PRIVATE PLACEMENT OF UNITS

Vancouver, British Columbia – July 30, 2024 – Lake Winn Resources Corp. (TSXV: LWR, FSE: EE1A) (the

“Company”) is pleased to announce that further to its news releases dated May 23, 2024, June 14, 2024

and June 25, 2024, it has closed the second tranche of a non-brokered private placement (the “Offering”)

raising gross proceeds of $60,000 through the issuance of 1,200,000 units of the Company (the “ Units”)

at a price of $0.05 per Unit.

Each Unit will consist of one common share in the capital of the Company (a “Share”) and one Share

purchase warrant (a “Warrant”). Each Warrant is exercisable to purchase an additional Share (a “Warrant

Share”) at an exercise price of $0.08 per Warrant Share until July 30, 2026.

The securities issued pursuant to the Offering will be subject to a regulatory hold period ending December

1, 2024.
