LAKE WINN ANNOUNCES CLOSING OF PRIVATE PLACEMENT
Vancouver, British Columbia – December 31, 2024 – Lake Winn Resources Corp. (TSXV: LWR, FSE: EE1A)
(the “ Company”) further to the Company’s news release dated December 27, 2024 the Company is
pleased to announce it has closed the non-brokered private placement (the “Offering”) of 1,250,000 units
of the Company (the “Units”) at a price of $0.08 per Unit for gross proceeds of $100,000.
Each Unit consisted of one common share in the capital of the Company (a “ Share”) and one Share
purchase warrant (a “Warrant”). Each Warrant is exercisable to purchase an additional Share (a “Warrant
Share”) at an exercise price of $0.11 per Warrant Share until December 27, 2026.
All securities issued in connection with the Offering are subject to a statutory hold period of four months
and a day from their issuance, expiring on April 28, 2025 in accordance with appl icable securities laws.
The Company used the full amount of the proceeds raised from the Offering to pay outstanding accounts
payable and for general working capital and administrative expenses.
