LAKE WINN ANNOUNCES CLOSING OF FIRST TRANCHE OF

PRIVATE PLACEMENT

Vancouver, British Columbia – January 8 , 202 6 – Lake Winn Resources Corp.

(TSXV: LWR; FSE: EE1A) (the “ Company”) is pleased to announce that further to its

news release dated December 8, 2025, it has closed the first tranche of the previously

announced non-brokered private placement (the “Offering”) of up to 7,272,727 units (the

“Units”) at a price of C$0.055 per Unit.

Each Unit consists of one common share in the capital of the Company (a “ Share”) and

one share purchase warrant (a “Warrant”). Each Warrant will be exercisable to purchase

an additional Share (a “Warrant Share”) at an exercise price of $0.08 per Warrant Share

for a period of 24 months after the date of issuance.

The first tranche closing of the Offering occurred on December 10, 2025 and consisted

of 1,222,728 Units for aggregate gross proceeds of $ 67,250.04. All securities issued in

connection with the first tranche of the Offering are subject to a statutory hold per iod

of four months plus a day in accordance with applicable securities legislation expiring

on April 11, 2026.

In connection with the f irst tranche of the Offering, the Company paid aggregate cash

finder’s fees of $2,200.00 and issued 40,000 finder’s compensation warrants to an eligible

finder (the “Finder’s Warrants”). Each Finder’s Warrant entitles the holder to purchase

one Share of the Company at $0.08 per Share for a period of 24 months from the date of

issuance.

The Company intends to use the net proceeds from the Offering for exploration

expenditures related to the Company’s Little Nahanni Project as well as general working

capital and administrative expenses.
