EQUITORIAL ANNOUNCES LETTER OF INTENT TO PURCHASE 100% OF ECO-FRIENDLY PRECIOUS METAL EXTRACTION TECHNOLOGY.

__________________________________________________________ June 20, 2014 TSX Venture Exchange Trading Symbol: EXX

Equitorial Exploration Corp. (the “Company” or “Equitorial”), a TSX-V listed company, is pleased to announce that it has signed a Letter of Intent (“LOI”) with Specialty Metals Group, LLC., (“SMG”) and its principals, which forms the basis for the terms of an agreement for Equitorial to purchase 100% of all SMG assets related to its environmentally-friendly, hydrometallurgical separation process technologies (“SMG Technologies”).

SMG is a technology process development company with proprietary, environmentally-friendly technologies in hydrometallurgical separation. These technologies focus on a non-cyanide based, chemical treatment process for the hydrometallurgical extraction of precious metals from ore concentrates and electronic waste components. This process is non-toxic and more environmentally safe than conventional extractive solvents such as cyanide. The SMG Technologies will enhance and compliment Equitorial’s 45% interest in First Nevada Mining Corp.’s proprietary, patent pending, environmentally friendly, heavy metal extraction technology.

Under the terms of the LOI, Equitorial will purchase 100% of the assets related to the SMG Technologies in consideration of the payment in stages of $750,000 cash and 2,500,000 shares. $50,000 will be paid from Equitorial to SMG upon closing. Equitorial will pay SMG an additional $50,000 upon completion by SMG of a successful ¼ tonne test demonstration of the SMG Technologies. Equitorial will issue 1,000,000 common shares upon completion by SMG of a successful ¼ tonne test demonstration of the SMG Technologies in a commercial production scale environment. Additional cash payments of up to $650,000 will be made by Equitorial by way of 20% gross profits royalty generated from future business associated with the use of the SMG Technologies. Equitorial will also issue SMG 1,500,000 common shares upon the revenues derived from the use of the SMG Technologies reaching $500,000, as reflected in audited financial statements. All share issuances associated with this transaction are subject to escrow provisions.

The LOI specifies that the parties agree to negotiate the terms of a Definitive Agreement in good faith with a view to its execution within 60 days of signing the LOI. The above transaction is also subject to a finder’s fee payable in the amount of 500,000 shares, subject to applicable hold periods and Exchange acceptance.

About Specialty Metals

Specialty Metals Group, LLC (SMG) is a high technology process development company with proprietary, environmentally-friendly technologies in hydrometallurgical extraction. These technologies focus on a noncyanide based, non-toxic, ion-exchange based chemical treatment process for the extraction of precious metals from ore concentrates and electronic waste components. The unique process delivers effective recoveries of up to 99%, is non-toxic and more environmentally friendly than conventional extractive leach reagents such as cyanide.

According to SMG, it has competed over 120 separate lab scale pilot scale tests ranging from 1 to 2000 pounds of concentrate, and/or eWaste material. Recovery rates and metal purity from these tests have ranged between fractions of grams of gold to over 260 ounces of 99% pure gold per ton. The results from this testing have not been verified by Equitorial.

The process itself is highly scalable and can be considered a “Green Chemistry” as the process uses non-toxic chemicals which are systematically re-used and re-purposed.

For the past 4 years SMG has been developing this proprietary process in conjunction with Dr. Joe Balser, PHD. Dr. Balser is considered by many to be the country’s leading expert on the process of chemically extracting gold and other precious metals from raw mined ore and eWaste.

Target Markets

The target markets for this proprietary extraction technology include the treatment of high-grade ore concentrates and high-grade electronic components sourced from the electronic waste (eWaste) industry.

According to a new report from Marketsandmarkets, the global volume of e-wastegenerated is expected to
exceed 93.5 million tons in 2016 up from 41.5 million tons in 2011,.eWaste is the fastest growing waste stream
The EPA estimates that only 15-20% of this waste is recycled, with the rest going directly into landfills and
incinerators.
Cell phones, computers and other electronic items contain significant amounts of precious metals. The
European Union reports that one tonne of cell phones contain over 280 grams of gold, 140 grams of platinum
and palladium, and 140 kilograms of copper.According to a reportby the Global e-Sustainability Initiative
and the United Nations University, one metric ton of computer circuit boards can contain 40 to 800 times the
amount of gold and 30 to 40 times the amount of copper mined from one metric ton of ore in the US.

According to a recent report by the EPA, the US disposed of over 150 million mobile devices and 51 million computers in 2012. This amounts to over 442,000 tonnes of eWaste which contains over $750 million worth of precious metals.

Increased spending on electronics products, both by consumers and businesses, is driving the accelerated ewaste growth. Electronic products are becoming obsolete at a faster rate, especially mobile devices, due to rapid improvements in technology, design and functionality.

United Nations University reports that over 320 tons of gold and 7,500 tons of silver are now used annually to make PCs, smart phones, and tablet computers. This adds more than $21 billion in value annually to the metals eventually available through the "urban mining" of e-waste.

Subject to completing this acquisition, Equitorial will work with eWaste recycling organizations in the US and Canada that collect and disassemble electronics. After the initial dismantling by those recyclers, Equitorial further intends to process selected components such as IC chips and circuit boards to extract the valuable metals.
