Tembo Gold Announces Results of Annual and Special Meeting

Shareholder Meetings

July 26, 2022, Vancouver, BC – Tembo Gold Corp. (TSX.v:TEM) ("Tembo", or the "Company") is pleased to report that at the

annual and special meeting of shareholders of the Company (the “ Meeting”) held on July 25 , 202 2, the shareholders

re-elected Messrs. David Scott, Simon Benstead, Frank Högel and Marc Cernovitch as directors of the Company. The

shareholders also passed ordinary resolutions to : (i) re-appoint Grant Thornton LLP as auditor of the Company for the year ;

(ii) approve a new 10% rolling stock option plan (the “New Option Plan”), pursuant to which the Company may grant stock

options up to 10% of its issued and outstanding common shares at the time of the grant; and (iii) approve the adoption of an

equity incentive plan (the “Equity Incentive Plan”), which would provide the Company with the ability and flexibility to grant

equity-based incentive awards in the form of restricted share units, performance share units and deferred share units . The

new New Option Plan and Equity Incentive Plan are subject to final acceptance by the TSX Venture Exchange.

Following the Meeting, the directors appointed Mr. David Scott as President and Chief Executive Officer of the Company, Mr.

Simon Benstead as Chief Financial Officer and Mr. Nick DeMare as Corpo rate Secretary. The Board also appointed Messrs.

David Scott, Frank Högel and Marc Cernovitch to the audit committee.
