Pacific-Link Announces Proposed Qualifying Transaction with Red Cloud Exploration, LLC

Mergers & Acquisitions

NOT FOR DISSEMINATION IN THE U.S. OR THROUGH U.S. NEWSWIRES

Vancouver, British Columbia – June 13, 2011 – Pacific-Link Capital Inc. (“Pacific-Link” or the “Company”) (TSX-V: PCL.P) is pleased to announce that it has entered into a letter of intent (the “LOI”) dated June 1, 2011 with an arm’s length party, Red Cloud Exploration, LLC (“Red Cloud”). The LOI will be superseded by a definitive farmout agreement (the “Farmout Agreement”) to be entered into between Pacific-Link and Red Cloud, pursuant to which the Company will acquire a 75% undivided interest in five oil and/or gas wells to be drilled on the property (the “Property”) located in Kansas (the “Proposed Transaction”) upon the payment of US$1.75 million to Red Cloud. Pacific- Link will also be granted an option to propose and/or participate in the drilling and completion of additional oil and/or gas wells on the Property.

The Company is a capital pool company listed on the TSX Venture Exchange (“Exchange”) and the Proposed Transaction would constitute the Company’s qualifying transaction (the “Qualifying Transaction”) under Policy 2.4 of the Exchange. Upon successful completion of the Qualifying Transaction, the Company will be a Tier 2 oil and gas issuer.

None of the Insiders of the Company, or their Associates and Affiliates, have any interest in the Proposed Transaction or are otherwise an Insider of, or have any relationship with, Red Cloud or its direct and indirect shareholders, and the transaction is an Arm’s Length Qualifying Transaction as defined under the Exchange policies.

The Company and Red Cloud anticipate settling and entering into the Farmout Agreement regarding the Proposed Transaction by June 30, 2011. As an Arm’s Length Qualifying Transaction, the Proposed Transaction is not subject to approval by the Company’s shareholders under the Exchange policies and applicable law. The Company anticipates filing a filing statement detailing the Qualifying Transaction and related matters in the near future.

Trading in the common shares of the Company will remain halted pending the release of further disclosure regarding the Proposed Transaction, the satisfaction of the initial filing requirements of the Exchange and a preliminary review by the Exchange.

Upon completion of the Qualifying Transaction, the Company plans to change its name in accordance with the Exchange policies and the common shares of the Company are expected to be listed on the Exchange under a new trading symbol. The Company expects to be actively engaged in the exploration of the Property, as well as the acquisition and exploration of other oil and gas properties.

The Property

The Property consists of eight oil and gas leases, of which Red Cloud is the sole legal and beneficial owner. The Property is part of Red Cloud’s Blackhawk Project. The Property covers approximately 1,000 acres in Jefferson and Leavenworth Counties, Kansas. Red Cloud has conducted several geological and reservoir studies on the Property and has also had Satellite Spectral Analysis carried out on the Property. Red Cloud has identified a total of six potential structures that may produce oil and gas within the Property.

Transaction Terms

Pursuant to the Farmout Agreement, Red Cloud will grant an option to the Company to acquire a 75% working interest in five oil and/or gas wells (the “Wells”) to be drilled on the Property upon the payment of US$1.75 million (the “Initial Commitment”) by Pacific-Link to Red Cloud. The Initial Commitment will be used to fund the drilling of the Wells, which will be drilled at locations on the Property to be selected by mutual agreement of Pacific-Link and Red Cloud. The acreage attributed to each Well drilled shall not be less than 2.5 acres and not more than 10 acres for an oil well and not less than 10 acres and not more than 40 acres for a gas well and in accordance with the rules and regulations of the Kansas Corporation Commission or other relevant governing authority. Forthwith upon completion of the Qualifying Transaction, the Company will pay US$200,000 to Red Cloud.

Red Cloud Exploration Operating, LLC, or such other entity as may be determined by Red Cloud, will be the operator (the “Operator”) for the purpose of drilling, completing and operating the Wells for production of oil and/or gas therefrom.

If the actual cost of drilling the Wells exceeds the Initial Commitment, the Operator will contribute to the additional drilling cost. If the actual cost of drilling is less than the Initial Commitment, the excess amount will be retained by the Operator. On the first production of each Well, the Company and Red Cloud will each pay their proportionate share of the operating costs and receive their proportionate share of the proceeds from the sale of production. It is contemplated that Pacific-Link’s 75% working interest in each Well will yield a net revenue interest of not less than 60% of the 8/8 production. If either the Company or Red Cloud desires to drill additional wells on the Property, the non-drilling party will have the option to participate for up to a 50% working interest in the drilling and the completion of any such additional wells.

Deposit

Pacific-Link will pay Red Cloud a deposit (the “Deposit”) of Cdn.$25,000 upon the execution of the LOI. If the Company and Red Cloud do not enter into the Farmout Agreement by June 30, 2011, despite their commercially reasonable best efforts, then the Deposit will be retained by Red Cloud. If the parties do enter into the Farmout Agreement by June 30, 2011, and provided certain other conditions are met, then the Deposit will be applied towards payment of the Initial Commitment.

Private Placement Financing

Concurrently with and conditional upon the completion of the Qualifying Transaction, Pacific-Link intends to complete a non-brokered private placement (the “Private Placement”) of common shares at no less than $0.10 per share for gross proceeds of at least $3 million. Red Cloud will provide such assistance as may be reasonably required by Pacific-Link to complete the Private Placement, including introductions to potential investors and attendance at meetings with potential investors.

The net proceeds of the Private Placement will be used to finance the costs of completing the Qualifying Transaction, fund the Initial Commitment, and for general and administrative expenses and unallocated working capital.

In connection with the Private Placement, the Company may pay finder’s fees to arm’s length finders on a portion, or all, of the gross proceeds raised under the Private Placement, to be settled in cash and/or warrants, subject to the approval of the Exchange. The Company will disclose further details regarding the Private Placement.

Capitalization and Transfer of Shares within Escrow

The Company currently has 7,930,001 common shares issued and outstanding, including 2,821,000 common shares deposited in escrow. As of June 13, 2011, the Company has 655,000 outstanding stock options exercisable at $0.10 until March 24, 2015.

Subsequent to the completion of the Proposed Transaction, certain holders (the “Seed Share Holders”) of escrowed common shares of the Company issued during Pacific-Link’s seed financing (the “Seed Shares”), representing less than 20% of the issued and outstanding common shares on a fully diluted basis following the Private Placement, are anticipated to sell such shares to non-arm’s length parties of Red Cloud (the “Seed Share Sale”). The Seed Share Sale will be subject to a number of conditions including: (i) receipt of Exchange approval, (ii) the closing of the Qualifying Transaction and (iii) the purchasers of the Seed Shares agreeing to be bound by and to assume the relevant seed share resale restrictions of the Exchange.

Management and Board of Directors

Upon completion of the Qualifying Transaction, and assuming completion of the Seed Share Sale, it is anticipated that Red Cloud will nominate and appoint the directors and senior management (the “Management Team”) of the Company. Pacific-Link will provide further details in the future regarding the Management Team.

Conditions of Completion

The completion of the Proposed Transaction is subject to a number of conditions including:

(i) Exchange approval of the Proposed Transaction and the Management Team, (ii) completion of the Private Placement, (iii) satisfactory completion of due diligence by each of Red Cloud and Pacific- Link, (iv) the Seed Share Holders and purchasers entering into an agreement for the Seed Share Sale,

(v) no material adverse change having occurred in the business, results of operations, assets, liabilities, financial condition or affairs of Pacific-Link or Red Cloud since the date of execution of the LOI and

(vi) receipt of any other required regulatory or other approvals.

Sponsorship

Sponsorship of a Qualifying Transaction of a Capital Pool Company is required by the Exchange, unless an exemption from the sponsorship requirement is available. Pacific-Link intends to apply to the Exchange for an exemption from the sponsorship requirement. There is no assurance that the Company will be able to obtain such an exemption.
