ST. JAMES GOLD CORP. CLOSES PRIVATE PLACEMENT
Vancouver, British Columbia, May 5 , 2023 - St. James Gold Corp. (the “ Company” or “ St. James”)
(TSXV: LORD) (OTCQB: LRDJF) (FSE: BVU3) is pleased to announced that it has closed the
previously announced non-brokered private placement (the “Private Placement”) and has issued 855,479
units (“Units”) at a price of $0.12 per unit for gross proceeds of $102,657.48. Each Unit will be comprised
of one common share and one half of one common share purchase warrant, with each whole warrant
entitling the holder to purchase one additional common share at $0.20 per share for a period of one (1) year
from the date of issue. The company has decided not to sell any further units of the previously announced
private placement.
All securities issued in connection with the Offering will be subject to a four‐month statutory hold period.
The proceeds of the Offering will used to conduct exploration work on the company’s Newfoundland
properties, to conduct due diligence on potential acquisitions and for general corporate purposes.
Completion of the private placement has been approved by the TSX Venture Exchange.
