ST. JAMES GOLD CORP. ANNOUNCES SETTLEMENT AGREEMENT WITH

FLORIN RESOURCES INC.

Vancouver, British Columbia, March 17, 2023 - St. James Gold Corp. (the “ Company” or “St. James”)

(TSXV: LORD) (OTCQB: LRDJF) (FSE: BVU3) announces it has issued 1,800,000 common shares to

Florin Resources Inc. ("Florin"), and has also issued promissory notes in favour of Florin, in connection

closing of the settlement agreement with Florin announced on March 8, 2023 (the “ Settlement

Agreement”). A full des cription of the terms of the Settlement Agreement are in the Company's news
