ST. JAMES GOLD CORP. ANNOUNCES NON-BROKERED PRIVATE PLACEMENT
AND GRANTS STOCK OPTIONS

Vancouver, British Columbia, January 7, 2022 - St. James Gold Corp. (the “Company”) (TSXV:
LORD) (OTCQB: LRDJF) (FSE: BVU3) is pleased to announce a non-brokered private placement of
up to 431,035 units of the Company (each, a “ Unit ”) at a price of $1.16 per Unit for aggregate proce eds
to the Company of up to $500,000 (the “ Offering ”).
Each Unit shall be comprised of one common share in the capital of the Company (each, a “ Share ”) and
one common share purchase warrant (each, a “ Warrant ”), with each Warrant entitling the holder thereof
to purchase one additional common share, at an exercise price of $1.45 for a period of two (2) years from
the closing date.
The gross proceeds raised from the sale of Units will be used to advance its exploration programs and for
general corporate matters. The Offering will be con ducted in all provinces of Canada pursuant to priva te
placement exemptions. The closing of the Offering i s subject to, among other things, the receipt of al l
necessary approvals from the TSX Venture Exchange (the “TSXV”).
Pursuant to applicable Canadian securities laws, al l securities issued and issuable in connection with the
Offering will be subject to a four (4) month hold period commencing on the closing date.
The Company also announces that it has issued 300,0 00 stock options to directors, officers and
consultants of the Company to purchase up to 300,000 common shares in the capital of the Company. The
options are exercisable for a period of two years from grant with an exercise price of $1.16.
