CORPORATE MATTERS – UPDATE
(Vancouver) LOMIKO METALS INC. (TSX -V:LMR, OTC: LMRMF, Europe: ISIN: CA54163Q1028, WKN:
A0Q9W7,) (“Lomiko” or “the Company) is pleased to announce that on October 27, 2017 it held its Annual General
Meeting of Shareholders (the “Meeting”). A total of 7,084,095 common shares (28.26% of the outstanding common
shares) were represented at the Meeting in person or proxy.
1. Election of Directors
Each of the following individuals were elected as directors of the Company as approved by a vote by ballot, for a term
expiring at the conclusion of the next annual meeting of shareholders of the Company or until their successors are
elected or appointed, as follows:

2. Appointment of Auditor
The appointment of Galloway, Botteselle & Company, CGA as the auditor of the Company, to hold office until the
next annual meeting of shareholders of the Company, and the authorization of the directors of the Company to fix the
auditor’s remuneration, was approved by a resolution passed by a vote by ballot, with 7,071,984 (99.83%) total votes
cast “FOR” and 12,111 (0.17%) total votes “WITHHELD”.
3. Ratification of Stock Option Plan
The Stock Option Incentive Plan was approved by a resolution passed by a vote by ballot, with 7 ,001,204 (98.83%)
total votes cast “FOR” and 82,891 (1.17%) total votes cast “AGAINST”.
4. Ratification of Shareholders Rights Plan
The Shareholders Rights Plan was approved by a resolution passed by a vote by ballot, with 7,067,821 (99.77%) total
votes cast “FOR” and 16,274 (0.23%) total votes cast “AGAINST”.
At the first meeting of the newly constituted Board of Directors held immediately after the Meeting, A. Paul Gill was
elected to serve as President and Chief Executive Officer and Jacqueline Michael as Chief Financial Officer until the
next annual general meeting of the Company. The Board also elected Julius Galik, Brian Gusko and Jacqueline
Michael to serve as the Company’s Audit Committee until the next annual general meeting of the Company.

Further, the Company also wishes to amend the terms of its 490,000 outstanding options granted to directors and
consultants of the Company between 02-2013 and 09-2014, from $1.00 (post 1:10 rollback) to $0.20. All other terms
remain the same. The amendment to the options is subject of regulatory approval, and shareholders’ approval for those
granted to the “Insiders” of the Company.
