Global Li-Ion Announces Closing of Private Placement

LION CSEGBBGF. OTCQB0TD. F Vancouver, British Columbia, Canada (April 21, 2026) – Global Li-Ion Graphite Corp. (“Global Li-Ion” or, the “Company”) (CSE: LION) is pleased to announce that it has closed the first tranche of its previously announced non-brokered private placement (the “Offering”) of 10,000,000 units of the Company (each, a “Unit”) at a price of $0.025 per Unit for gross proceeds of $250,000. Each Unit consists of one (1) common share in the capital of the Company (a “Share”) and one (1) common share purchase warrant (a “Warrant”). Each Warrant will be exercisable into one (1) Share for two years from the date of issuance (the “Exercise Period”) at an exercise price $0.10 per Share for the first year of the Exercise Period and at an exercise price of $0.20 for the second year of the Exercise Period. The Proceeds of the Offering will be used for business development and general corporate purposes. All securities issued pursuant to the Offering will be subject to a statutory four-month and one day hold period. No finders fees were payable in connection with the Offering.

One insider of the Company participated in the Offering through the subscription of 2,700,000 Units, thereby making the Offering a "related party transaction", as defined under Multilateral Instrument - Protection of Minority Security Holders in Security Transactions ("MI 61-101"). The Offering was exempt from the formal valuation and minority shareholder approval requirements of MI 61-101 as the Company is not listed on a specified market (as set out in Section 5.5(b) of MI 61-101) and the fair market value of the Units issued to, nor the consideration paid by, the insider did not exceed $2,500,000 (as set out in Section 5.7(1)(b) of MI 61-101). A material change report in respect of the Offering was not filed 21 days before closing of the Offering, as the closing date and the participation by the related party were not settled until shortly prior to closing and the Company wished to complete the Offering in an expeditious manner for sound business reasons.
