Shareholders

(OTCQB: NMDBF) (FFE: 6UF) (“NeonMind” or the “Company”), an integrated drug
development and wellness company focused on the potential therapeutic uses of
psilocybin for treating obesity and weight management conditions, is pleased to
announce the voting results from its Annual General and Special Meeting of
Shareholders (the “Meeting”) held on May 27, 2021 at the offices of Wildeboer Dellelce
LLP, Wildeboer Dellelce Place, 365 Bay Street, Suite 800, Toronto, Ontario M5H 2V1.
At the Meeting, all matters put forward before shareholders for consideration and
approval as set out in the Company's Notice of Meeting and Management Information
Circular, dated April 16, 2021, were approved by an overwhelming majority of votes cast
at the Meeting by the Shareholders as follows:
NUMBER OF DIRECTORS
The Shareholders approved the setting of the number of directors at three.
ELECTION OF DIRECTORS
The Shareholders elected the following slate of directors:

Jeff Smith
Kari Richardson
APPOINTMENT OF AUDITORS
The Shareholders re-appointed the current auditors, Saturna Group Chartered
Professional Accountants LLP, as auditors of the Company for the ensuing year, with
their remuneration to be fixed by the Company’s Board of Directors.
AMENDED AND RESTATED STOCK OPTION PLAN
The Shareholders ratified and approved the Company's amended and restated stock
option plan.
AMENDED AND RESTATED RESTRICTED SHARE UNIT PLAN
The Shareholders ratified and approved the Company's amended and restated
restricted share unit plan.

NeonMind established a medical services division with the goal of launching NeonMind-
branded specialty mental health clinics in Canada that incorporate evidence-backed
innovative treatments to address a variety of mental health needs.
NeonMind’s consumer division currently sells NeonMind branded coffee products in
Canada through NeonMind’s direct to consumer e-commerce platform, and it has plans
to launch dietary supplements in the United States in the near future.
