BROKERED PRIVATE PLACEMENT

Deep-South

" or the Company) (TSXV: DSM) announces that

it has closed its non-brokered private placement (the "Offering") for an amount of

$392,000

.

The Offering comprised 7,840,000 Units (the "Units") at a subscription price of

$0.05

per Unit. Each Unit consists of one (1) common

share and one half (1/2) of one common share purchase warrant ("Warrant"). Each whole Warrant will entitle the holder thereof to

purchase one (1) common share at an exercise price of

$0.10

for thirty-six (36) months from the date of closing of the private placement.

Each security issued has a mandatory four (4) month hold period from the date of closing of the placement.

The Company did not pay any finders.

The funds will be used to further exploration of the projects in

Zambia

and for general working capital.
