METEORITE CAPITAL INC. PROVIDES UPDATE ON ITS QUALIFYING TRANSACTION WITH

SPARKIT MEDIA INC.

August 17, 2020 – Montreal, Québec – Meteorite Capital Inc. (TSXV: MTR.P) (“Meteorite”) is

pleased to provide an update of its previously announced business combination (the

“Transaction”) with Sparkit Media Inc. (“Sparkit”). As previously announced, Meteorite and

Sparkit have agreed to complete a transaction that will result in a reverse take-over of Meteorite

by the shareholders of Sparkit.

The audited financial statements of Sparkit for the year ended December 31, 2019, were delivered

to Sparkit and, along with other requisite information, were submitted to the TSXV earlier this

week as part of Meteorite’s initial submission.

Meteorite has now extended the repayment of the $125,000 in advances that it previously made

to Sparkit to October 15, 2020. The Board of Meteorite has also agreed to advance to Sparkit an

additional amount of $100,000 pending fulfillment of the conditions set forth in section 8.5 of

TSX.V Policy 2.4. This new advance will be combined with the prior advances and will bear interest

at a rate of 6.5% per annum, will be memorialized through an amendment to the existing loan

agreement and will be secured by a first charge on all of Sparkit’s assets.

Meteorite also announces that its financial statements and MD&A for the quarter ended June 30,

2020, will be filed on or about August 31, 2020.
