KIPLIN METALS TO SEEK SHAREHOLDER APPROVAL FOR CONSOLIDATION

August 6, 2020 – Vancouver, British Columbia – Kiplin Metals Inc. (the “Company”) (TSXV:

KIP) announces that it intends to convene an annual general and special meeting (the

“Meeting”) of the shareholders of the Company at 11:00 a.m. (Pacific Time) on October 9,

2020. At the Meeting, shareholders are ex pected to vote to re -elect the current board of

directors, re-appoint Manning Elliott LLP, Chartered Professional Accountants, as the auditor of

the Company for the ensuing year, re-approve the Compa ny’s 10% rolling stock option plan,

and approve a consolidation (the “ Consolidation”) of the outstanding share capital of the

Company on up to a one-for-five basis.

The board of directors of the Company has not yet resolved to proceed with a Consolidation and

will decide whether to proceed following the Meeting. Completion of any Consolidation remains

subject to the review and approval of the TSX Venture Exchange.
