Kiplin Metals Closes First Tranche of Flow-Through Offering

KIPLIN METALS CLOSES FIRST TRANCHE OF FLOW-THROUGH OFFERING
November 13th, 2025 – Kiplin Metals Inc. (the “Company” or “Kiplin”) (TSX-V: KIP, FWB: 17G1) announces
that it has closed the first tranche of its non-brokered private placement (the “Offering”) being conducted
in reliance upon the the listed issuer financing exemption (the “ LIFE Exemption ”) under Part 5A of
National Instrument 45-106 – Prospectus Exemptions.
In connection with closing of the first tranche, the Company has issued 1,300,000 flow-through units
(each, a “Unit”) at a price of $0.25 per Unit for gross proceeds of $325,000. Each Unit consists of one
common share of the Company, issued as a flow-through share within the meaning of the Income Tax Act
(Canada), and one share purchase warrant (each, a “Warrant”). Each Warrant entitles the holder to
purchase an additional common share of the Company at a price of $0.35 until November 13, 2027.
The Company anticipates the net proceeds raised from the Offering will be used for the continued
exploration and development of the Company’s wholly-owned Lloyd Lake Uranium Project, located on
the southern lip of the Athabasca Basin in northern Saskatchewan.
The Company anticipates completing a further tranche of the Offering to bring gross proceeds to
$500,000. No finders’ fees were paid in connection with completion of the first tranche of the Offering.
The Company may pay finders’ fees to eligible parties who have assisted in introducing subscribers to
further tranches of the Offering. The securities offered under the LIFE Exemption are not subject to a hold
period in accordance with applicable Canadian securities laws.

An officer of the Company participated in the first tranche of Offering in the amount of 100,000 Units.
Participation in the Offering by an insider of the Company constitutes a “related party transaction” within
the meaning of Multilateral Instrument 61-101 – Protection of Minority Security Holders in Special
Transactions (“MI 61-101”). The issuance of securities to insiders of the Company is exempt from the
valuation requirement of MI 61-101 by virtue of the exemption contained in section 5.5(b) as the
Company’s shares are not listed on a specified market and from the minority shareholder approval
requirements of MI 61-101 by virtue of the exemption contained in section 5.7(a) of MI 61-101, in that
the fair market value of the consideration of the securities issued to the insiders of the Company does not
exceed twenty-five percent of the Company’s market capitalization
