Aldever Closes Second Tranche of Non-Brokered Private Placement

ALDEVER CLOSES SECOND TRANCHE OF NON-BROKERED PRIVATE PLACEMENT

Aldever Resources Inc. (ALD—TSXV) (ALDVF—OTCQB) (“Aldever” or the “Company”) is pleased to announce that
it has received TSX Venture Exchange Approval and closed the second tranche of its non-brokered private
placement, initially announced on April 19, 2017.
1st Tranche: The Company raised $291,800 through the sale of 4,210,000 units in the first tranche of this
placement. This comprised of 2,250,000 units sold at $0.06 which contained on e non-flow through common share
and one whole transferrable warrant and 1,960,000 units sold at $0.08 which contained one flow through common
share and one-half transferrable warrant. Total finder’s fees of $15,680 cash, 49,000 warrants and 98,000 common
shares were paid. All warrants issued are exercisable at a price of $0.12 per warrant for three years from the date
of issue.
2nd Tranche: The Company raised $100,002 through the sale of 1,666,700 non -flow through units at a price of
$0.06 per unit. Each unit sold is comprised of one (1) non -flow through common share and one (1) transferrable
share purchase warrant. Each whole share purchase warrant will be exercisable at a price of $0. 12 for 36 months
from the date of closing. Finder’s fees of 10% cash equivalent to $7,500, 5% warrants equivalent to 62,500, and 5%
common shares equivalent to 62,500 are payable to EMD Financial Inc.
All securities issued in connection with the offering will be subject to a statutory hold period of four months plus a
day from their respective date of issuance, in accordance with applicable securities legislation.
Proceeds fr om the offering will be used to finance exploration program s on the Company’s properties and for
general working capital purposes.
