Kutcho Copper Completes Restructure

of Wheaton Facilities

Vancouver, B.C., November 29, 2019. Kutcho Copper Corp. (TSXV: KC) (OTC: KCCFF) (“Kutcho

Copper” or the “Company”) has closed its credit facility with Wheaton Precious Metals Corp. (“Wheaton”),

as initially announced on November 25, 2019 . The closing conditions and deli very of security were

completed, making the facility available for drawdown . The credit facility, i n conjunction with the

amendment of Wheaton’s $20 million convertible debenture on November 25, 2019, which effected an

interest deferral of up to 4 years, closes out Kutcho Copper’s restructure of the Wheaton facilities.

Wheaton holds approximately 10.48% of the Company’s outstanding shares pursuant to various prior

transactions with Kutcho Copper, as announced in the fall of 2017 and which closed December 1 4, 2017.

Accordingly, t he credit facility may be considered to be a related party transaction under Multilateral

Instrument 61-101, but is exempt from the valuation requirements of MI 61-101 because Kutcho Copper is

listed on the TSX Venture Exchange (subsection 5.5(b) of MI 61 -101) and the minority shareholder

approval requirements because the credit facility does not have an equity component (subsection 5.7(f) of

MI 61-101).
