E36 CLOSES INITIAL PUBLIC OFFERING

E36 Capital Corp. (the “Company”), a capital pool company pursuant to Policy 2.4
of the TSX Venture Exchange (the “ TSX-V”), is pleased to announce that today it
completed its initial public offering (the “offering”) of 3,500,000 common shares
issued at a price of $0.1 0 per share pursuant to a prospectus dated September 3,
2019 and an amended and restated prospectus dated November 30, 2019 ( together,
the “Prospectus”).
A cash commission of 8 % of the gross proceeds of the offering was paid to the
Company’s agent, Haywood Securit ies Inc. (“ Haywood”), as well as a corporate
finance fee. In addition, Haywood received 280,000 non-transferable warrants
entitling Haywood and members of its selling group to acquire up to an aggregate
of 280,000 common shares at a price of $0.10 per share for a period of 24 months
from the date hereof.
The Company will use the net proceeds from the offering for examination and
possible participation in, or acquisition of, assets or businesses with a view to
completing a “Qualifying Transaction” unde r the capital pool company program
of the TSX-V.
As a result of this issuance, the Company has 6,075 ,000 common shares issued and
outstanding, of which 2,325,000 shares have been placed in escrow . Upon closing,
the Company’s common shares were listed for trading and immediately halted
from trading on the TSX Venture Exchange under the trading symbol “ ETSC.P”
and are expected to commence trading upon further notice from the TSX Venture
Exchange.
The Company has also granted an aggregate of 600,000 incentive stock options to
its directors and officers, as outlined in the Prospectus, each such option
exercisable at a price of $0.10 per share for a period of ten years, vesting
immediately.
