Management Change of Chief Financial Officer and closing of 1st Tranche of Financing

Vancouver, 20th June, 2019: Jazz Resources Inc. (“Jazz”, or the “Company” - JZR: TSX-V), the junior

resource exploration and mining company focused on the Revelstoke mining district of British Columbia,

Canada would like to announce the resignation of Kirk Fisher from the position of Interim Chief Financial

Officer. Jazz would like to thank Kirk Fisher for his hard work and service during our search for a new

Chief Financial Officer.

Jazz is also very pleased to announce that Darren Battersby has agreed to join Jazz Resources Inc. as

Chief Financial Officer. Darren brings a wealth of knowledge and business experience from a very

successful business career and will be extremely valuable in moving the Company forward.

Darren has held key roles in a number of growing and developing companies both in the public sector

and in private enterprises. His experience is primarily within the financing, structuring and operating of

start-up and growing companies, and spans across a variety of industries such as software development,

bio-tech, entertainment and high tech. He has recently held the position of CFO of Network Media

Group (NTE.V), ProSmart Enterprises (PROS.V) Rainmaker Entertainment (RNK.TO) and OneMove

Technologies Inc. (OM.V). He also consults for a variety of privately owned companies within British

Columbia. He qualified as a chartered professional accountant in 1997 and is a member in good standing

with the BC Institute of Public Accountants.

In addition, Jazz is pleased to announce that it has closed the first tranche of a non-brokered private

placement (the "Offering") of common and flow-through shares for gross proceeds of $75,000. All

securities issued in connection with the first tranche of the Offering are subject to a statutory hold

period expiring on October 21, 2019 in accordance with applicable securities legislation. Jazz has also

been granted a 1 month extension on the final closing of the remainder of the financing until July 21,

2019.

The Offering is subject to Exchange final acceptance.
