ARDONBLUE DEBT SETTLEMENT APPROVED AT AGM
Vancouver, B.C. – July 25, 2014 – Ardonblue Ventures Inc. (the “Company”) (ARB-TSXV) announced on June 26, 2014 that it had made arrangements to issue 14,183,724 shares at $0.05625 per share in satisfaction of $797,834.47 owed to trade creditors, lenders and a director. The Company is now pleased to report that the settlement of debt owed to the President of the Company and entities controlled by him, and the resulting creation of a control block, were approved at the Company’s 2014 Annual General and Special Meeting held on July 24, 2014.
As a result, the Company is now in a position to make the required filing with the TSX Venture Exchange (the “TSXV”). Due to arrangements for cash payment of accrued interest on some loans and waiver of interest negotiated on some loans, the Company will now be applying for consent to issue 13,885,662 shares at $0.05625 to satisfy $781,068.42 in debt. Of that debt, $572,640.76 is owed to the President of the Company and entities controlled by him.
The proposed debt settlement remains subject to acceptance by the TSXV. All shares issued will be subject to a four month hold period from the date of issue.
At the Meeting, shareholders also re-elected Clive Brookes, Bruno Fruscalzo, Chris Verrico and Sean O’Neill as directors, approved the Company’s stock option plan for the ensuing year, authorized an alteration of the Company’s Articles to include advance notice requirements for the nomination of directors in certain circumstances and authorized an alteration of the Company’s Articles to allow the Company to make use of the “notice-and access” method for sending meeting materials to shareholders.
