International Tower Hill Mines Announces Results from 2017 Annual General

Meeting of Shareholders

Vancouver, B.C……..International Tower Hill Mines Ltd. (“ITH” or the “Company”) - (TSX: ITH, NYSE-

MKT: THM) announces the results from its 2017 Annual General Meeting of shareholders held in Vancouver,

B.C. on Wednesday, May 24, 2017 (“Meeting”).

At the Meeting, the Company’s share holders fixed the size of the board at eight and elected the following

individuals as directors of the Company, with all receiving a majority of the votes cast, as follows:

The shareholders re-appointed the current auditors, PricewaterhouseCoopers LLP, Chartered Accountants, as

auditors of the Company for the fiscal year ending December 31, 2017 and authorized the directors to fix their

remuneration.

The shareholders approved, on an advisory non-bindin g basis (“Say on Pay”), the compensation paid to the

Company’s executive officers (98% majority) and approved both the proposed issuance of common shares to

Thomas Irwin (98% majority) and the Company’s 2017 Deferred Share Unit Incentive Plan (87% majority).
