IEMR ANNOUNCES NON-BROKERED PRIVATE PLACEMENT OF $2,800,000
(Vancouver, March 24, 2016) – IEMR Resources Inc. (TSXV: IRI) (the “Company”) is pleased to announce that it has arranged a non-brokered private placement to raise gross proceeds of $2,800,000 through the issuance of 56,000,000 units at a price of $0.05 per unit. Each unit will consist of one common share and one share purchase warrant entitling the holder to purchase one additional common share at a price of $0.05 per share for nine months from the closing date of the private placement. On closing of the private placement, IEMR Group Limited, who will purchase 42,000,000 units in the private placement, will own approximately 50% of the Company's outstanding common shares on closing and will therefore become a new 'control person'. IEMR Group Limited is a private Hong Kong company wholly-owned by Zheng Fu, who is the son of Mr. Hongxue Fu, the Company’s Chief Executive Officer and a director. Mr. Zheng Fu will become a director of the Company on closing of the private placement and Mr. Yi Ming Xie will resign as a director.
The Company intends to use the proceeds of the private placement to (a) pay outstanding loans to the Company totalling approximately CAD$2.7 million that were loaned primarily by International Energy & Mineral Resources Investment (Hong Kong) Company Limited ("IEMR HK"), which is a company controlled by Mr. Fu, the Company’s CEO, and his wife, and (b) for working capital.
The common shares and any warrant shares issued under the private placement will be subject to a fourmonth hold period from the closing date of the private placement.
The private placement is subject to the approval of the TSX Venture Exchange and, if required, shareholder approval.
IEMR HK has agreed to sell to the Company its 9 million previously issued common shares of American CuMo Mining Corporation ("CUMO") (TSXV: MLY) in exchange for the issuance of 15,300,000 common shares of the Company (the "IEMR Shares") to IEMR HK. The market value of the 9 million CUMO shares to be purchased by the Company is $765,000, based on the closing price of $0.085 for CUMO's shares on March 23, 2016. The number of IEMR Shares to be issued in exchange for the CUMO shares was calculated using the deemed price of $0.05, which is much higher than the current market price of the Company's shares. The closing price of the Company's shares on March 23, 2016 was $0.005. The purchase of the CUMO shares from IEMR HK is therefore a favourable transaction for the Company in light of the current market value of the CUMO shares. The purchase of the CUMO shares and the issuance of the IEMR Shares to IEMR HK is subject to the approval of the TSX Venture Exchange.
