, the Company

was advised by the TSX

Venture Exchange (the "

Exchange

") that it was

deficient in the requirements for Independence and an

Audit Committee in accordance to Exchange Policy 3.1

.

To comply with these requirements, t

he

Company

has

appointed

Jielu Yu

as

the second

independent director

on the board

effective February 1,

2021

and Ms. Yu has

also become a member of the audit committ

ee

.

Ms. Yu has a bachelor's degree in nutrition science.

She is currently working as a manager at Yukunlun

Property Management Company and has been working at Shanghai ZhongJing Financial Consultant

Limited.
