News Release: PRIVATE PLACEMENT FOR $500,000 AGREED Dated: November 2, 2010
Private Placement: Management is pleased to announce that, subject to TSX Venture Exchange acceptance, the Company has reached agreement to a private placement of C$500,000 for 3,333,333 units of one share and one whole warrant by way of private placement organised by the Company. Each whole warrant will be for three years, transferable, and entitle the holder to purchase one additional common share for C$0.20. Finder’s fees may be paid to arms length parties in accordance with TSX Venture Exchange policy with respect to the private placement.
The proceeds of this private placement will be used for general working capital, current obligations and the development of the company’s mineral properties.
On October 28, 2010, the Company issued a news release stating that it was raising up to C$1,500,000 for up to 25,000,000 units of one share and one whole, three year, transferable warrant exercisable at C$0.10 cents by way of a private placement and management is confident that this private placement will be closed shortly.
Adroit Resources is a mineral exploration company that is currently exploring for Gold, Silver and Antimony in Grosseto Province, Italy and precious and base metals plus diamonds in the Temagami/Cobalt/Shining Tree and Bancroft areas of Ontario, Canada plus oil and gas in Texas, USA. In addition, Adroit is seeking new precious and base metal projects to add to its expanding portfolio. The Company’s issued and outstanding share capital is 68,887,507.common.shares and will be 97,220,840 on the closing of both of these private placements.
