Harvest GOLD Announces Marketing Agreement and Private Placement
HARVEST GOLD ANNOUNCES MARKETING AGREEMENT
AND PRIVATE PLACEMENT
Vancouver, British Columbia, August 31, 2018 – Harvest Gold Corporation (TSX.V: HVG) (the
“Company”) is pleased to announce that it has entered into an up to one year marketing agreement with
Wallace Hill Partners Ltd.
Additionally, the Company announces that, subject to the approval of the TSX Venture Exchange (the
“Exchange”), it proposes to raise up to $210,000 through a non-brokered private placement of up to
3,500,000 units at a price of $0.06 per unit. Each unit will consist of one common share and one transferable
common share purchase warrant of the Company, with each warrant exercisable for a period of two years
from the date of closing at a price of $0.12 per share. The warrants are subject to an acceleration clause
whereby in the event that the closing price of the Company’s common shares on the Exchange is CAD$0.17
or greater per share during any 20 non-consecutive trading day period at any time, the warrants will expire
at 4:00 p.m. (Vancouver time) on the 30th day after the date on which the Company provides notice of such
accelerated expiry to the warrant holders.
All securities issued in connection with the private placement are subject to a 4-month hold period in
Canada.
