HARVEST GOLD ANNOUNCES AN UP TO $1.4 MILLION FLOW THROUGH

FINANCING FOR DRILLING AT EMERSON

Vancouver, British Columbia / December 1, 2021 - Ha rvest Gold Corporation (TSX.V: HVG)

(“ Harvest Gold ” or the “ Company ”) announces that, subject to the approval of the T SX Venture

Exchange (the “ Exchange ”), it intends to complete a non-brokered private p lacement (the “ Private

Placement ”) of flow-through units (the “ FT Units ”) to raise total gross proceeds of up to $1,400,00 0.

The Company proposes to issue FT Units at $0.125 pe r FT Unit. Each FT Unit will consist of one flow-

through common share (“ Share ”) and one-half of one Warrant with each whole Warr ant exercisable at a

price of $0.20 per Share for a period of two years, provided that if the closing price of the Company’ s

Shares on the Exchange (or such other exchange on w hich the Company’s Shares may become traded) is

$0.40 or greater per Share during any fifteen (15) non-consecutive trading day period after June 1, 20 22,

the Warrants will expire at 4:00 p.m. (Pacific time ) on the 30th day after the date on which the Compa ny

provides notice of such accelerated expiry to the holders of the Warrants.

All securities issued in the Private Placement will be subject to the Exchange hold period, plus a hol d

period of four months and one day following the closing date of the Private Placement.

Finder’s fees may be payable in accordance with the policies of the Exchange.

The Company intends to use the gross proceeds of th e Private Placement for its first drill program at

Emerson, a 2D IP program at Jacobite and ancillary exploration expenses in 2022.
