Highland Critical Minerals Announces Non-Brokered Flow-
Through Private Placement
Toronto, ON, March 12, 2026 – Highland Critical Minerals Corp. (CSE: HLND) (FSE: U8X)
(“Highland”) is pleased to announce the launch of a non -brokered flow -through private
placement of common shares (the “ FT Shares”) for aggregate gross proceeds of up to
C$400,000 (the “ Offering”), at a price of C$ 0.25 per FT Share, for the issuance of up to
1,600,000 FT Shares.
Each FT Share will qualify as a “flow-through share” within the meaning of subsection 66(15)
of the Income Tax Act (Canada) (the “Tax Act”).
The Company intends to use an amount equal to the gross proceeds from the Offering to incur
eligible “Canadian exploration expenses” (within the meaning of subsection 66.1(6) of the Tax
Act) that are intended to qualify as “flow -through critical mineral mi ning expenditures” (or,
failing that, “flow -through mining expenditures”) as defined in subsection 127(9) of the Tax
Act (the “ Qualifying Expenditures ”). The Company intends to incur the Qualifying
Expenditures on or before December 31, 2027 and to renounce the Qualifying Expenditures to
subscribers of the FT Shares with an effective date of December 31, 2026
The Company may pay finder’s fees in connection with the Offering, including a cash
commission of up to 7.0% of the gross proceeds of the Offering, in accordance with applicable
securities laws and the policies of the Canadian Securities Exchange (the “CSE”).
A statutory four month plus one day hold period will apply to all securities issued in connection
with the Offering.
