HI-VIEW ANNOUNCES CLOSING OF SECOND AND FINAL TRANCHE
OF OVERSUBSCRIBED NON-BROKERED FLOW THROUGH
PRIVATE PLACEMENT
VANCOUVER, BRITISH COLUMBIA, AUGUST 8, 2025 – HI-VIEW RESOURCES INC. (‘HI -
VIEW' OR THE ‘COMPANY’) (CSE: HVW; OTCQB: HVWRF; FSE: B63 ) announces today that
pursuant to its news releases dated July 10, 2025 and August 1, 2025, the Company has closed the second
and final tranche of its oversubscribed non-brokered flow through private placement consisting of 761,905
flow through units (the “FT Units”) at a price of $0.105 per FT Unit for gross proceeds of $80,000.02 (the
“Private Placement”).
Each FT Unit consists of one (1) flow-through share of the Company (each, a “ FT Share”) issued as a
“flow-through share” within the meaning of the Income Tax Act (Canada) and one half of one c ommon
share purchase warrant (each, a “Warrant”). Each whole Warrant entitles the holder thereof to purchase
one Common Share at a price of C$0.30 until 5.00pm (Vancouver Time) on or before August 8, 2028,
subject to an acceleration provision whereby if the closing price of the Issuer’s Shares is greater than $0.50
for a minimum period of 10 consecutive trading days on the CSE, then the Company may, in its sole
discretion, elect to provide written notice to the holders of the Warrants that the Warrants will expire at
5:00 p.m.(Vancouver time) on the date that is 30 days from the date of the written notice.
Finder's fees of 76,190 broker warrants were paid to certain eligible finders in connection with applicable
securities laws and Canadian Securities Exchange policies. Each broker warrant entitles the holder thereof
to acquire one additional Common Share at a price of $0. 30 until 5.00pm (Vancouver Time) on or before
August 8, 2028.
All securities issued pursuant to the Private Placement are subject to a hold period of four months and one
day as required under applicable securities legislation which expires on December 9, 2025.
The Company raised a n aggregate total of $441,670.95 through the issuance of 4,206,390 FT units as
described above.
The gross proceeds from the sale of the FT Shares will be used by the Company to incur eligible “Canadian
exploration expenses” that will qualify as “flow-through mining expenditures” as such terms are defined in
the Income Tax Act (Canada) related to the Company’s projects in Canada.
The Company made the second tranche of the private placement available to certain subscribers pursuant
to B.C. Instrument 45 -536 - Exemption Form Prospectus Requirement for Certain Distributions Through
an Investment Dealer and the corresponding blanket orders and rules i n other Canadian jurisdictions. In
accordance with the requirements of the investment dealer exemption, the Company confirms that there is
no material fact or material change about the Company that has not been generally disclosed.
