Montreal, August 29 th, 2017 Bitumen Capital Inc. (TSX -V: BTM.H) (the "Company"
or “Bitumen ”), wishes to inform its shareholders that, during the Company’s annual
general and special meeting of shareholders (the “AGSM”) that was held this day, the
shareholders approved every resolution that were presented to them as part of the
information circular that was sent to the Company’s shareholders and filed on SEDAR
on August 4th, 2017. The shareholders approved namely (i) the election of directors until
completion of the contemplated Qualifying Transaction (for further information to that
effect, please refer to the Company’s press release dated April 28, 2017); (ii) the
increase in the number of the board of directors and the election of the directors of the
Resulting Issuer following completion of the Qualifying Transaction; (iii) the app ointment
of auditors; (iv) the change of name of the Company to “Goliath Resources Limited”
following completion of the Qualifying Transaction; (v) the consol idation of the
Company’s common shares on a two (2) old common shares for one (1) new common
share to occur on completion of the Qualifying Transaction; (vi) the adoption of a new
by-law No. 1 to be implemented by the Resulting Issuer following completion of the
Qualifying Transaction; and (vii) the approval of a new stock option plan to be
implemented by the Resulting Issuer following completion of the Qualifying Transaction.
The AGSM was duly constituted and the quorum was confirmed as shareholders and
proxy holders representing 65.27% of the issued and outstanding common shares of the
Company were represented at the AGSM.
