Goldgroup Closes Non-Brokered Private Placement

GOLDGROUP CLOSES NON-BROKERED PRIVATE PLACEMENT

Vancouver, British Columbia ( November 1 8, 202 4). Goldgroup Mining Inc. (“ Goldgroup” or the

“Company”) (TSX-V:GGA, OTC:GGAZF) is pleased to announce that it has closed the non-brokered

private placement (the “Private Placement”) previously announced on November 1, 2024.

Pursuant to the Private Placement, the Company issued a total of 3,181,818 units (each, a “Unit”) at CAD

$0.055 per Unit for gross proceeds of approximately CAD $175,000. Each Unit consists of one common

share (a “Common Share”) and one common share purchase warrant (a “ Warrant”), with each Warrant

being exercisable to purchase one Common Share at a price of $0.10 until November 18, 2026; provided

that if the closing price of the Company’s Common Shares for a period of 10 consecutive trading days is

$0.15 or higher, the Company will have the right to accelerate the expiry date of the Warrants upon notice

given by press release and the Warrants will thereafter expire on the 30th calendar day after the date of such

press release.

No commissions or finder fees were payable in connection with the Private Placement. The proceeds from

the Private Placement will be used to improve mining operations at the Company’s Cerro Prieto heap leach

gold mine and for general working capital requirements. The use of proceeds described also clarifies the

prior news release relating to this Private Placement issued on November 1, 2024 . The securities issued

under the Private Placement are subject to a four month hold period that expires on March 19, 2025. Closing

of the Private Placement is subject to final approval of the TSX Venture Exchange.
