GoldHaven Announces Second Tranche Closing of Private Placement
Vancouver, British Columbia, Ju ly 30, 2025 – GoldHaven Resources Corp. (" GoldHaven" or the
"Company") (CSE: GOH) (OTCQB: GHVNF) (FSE: 4QS) is pleased to announce that it has closed the
second and final tranche (the “ Second Tranche”) of its previously announced non- brokered private
placement (the “ Offering”), pursuant to which the Company raised aggregate gross proceeds of
$141,999.91.
Under the Second Tranche, the Company issued 1,092,307 flow-through common shares (each, an “FT
Share”) at a price of $0.13 per FT Share for gross proceeds of $141,999.91 to subscribers pursuant to
prospectus exemptions available to the Company under National Instrument 45- 106 – Prospectus
Exemptions. The FT Shares are issued as a “flow -through shares” (as such term is defined in subsection
66(15) of the Income Tax Act (Canada)).
All securities issued in connection with the Offering are subject to a hold period of four months and one
day pursuant to applicable securities laws. In connection with the Second Tranche of the Offering, the
Company issued 14,000 non- transferable finder’s warrants, with each finder’s warrant exercisable to
acquire one common share of the Company at a price of $0.13 for a period of 24 months from the date of
issuance, and paid cash finder’s fees in the aggregate amount of $1,820.
As previously announced, the Company intends to use the net proceeds of the Offering for “Canadian
exploration expenses” that are “flow -through critical mineral mining expenditures” (as such terms are
defined in the Income Tax Act (Canada)) on the Company’s British Columbian properties, including the
Magno and Three Guardsman projects.
