Golden Goliath Announces Private Placement
VANCOUVER, CANADA – February 26, 2026: Golden Golia th Resources Ltd. (“Golden
Goliath” or the “Company”) (TSXV: GNG). The Company is pleased to annouce a private
placement to up to $600,000. The financing will co nsist of units priced at $0.12 with a full
warrant. Each warrant will entitle the holder to p urchase an additional common share at a
price of $0.15 for a period of 12 months from the date of closing of the private placement.
The Private Placement will include participation by related parties to the Company. The
participation in the placement by these related par ties constitutes a related party transaction
(as defined under Multilateral Instrument 61-101 Pr otection of Minority Security Holders in
Special Transactions (“MI 61-101”)). The Company re lies upon the “Issuer Not Listed on
Specified Markets” and “Fair Market Value Not More Than $2,500,000” exemptions from the
formal valuation and minority shareholder approval requirements, respectively, under MI 61-
101.
The Units will be subject to a statutory hold perio d of four months and a day from the closing
date of the Offering. The Offering remains subject to regulatory approval.
The Company intends to use the net proceeds of the Offering to acquire crushing equipment,
conveyors and leach tanks, etc. to process rock for the Company’s partnership in Egypt and for
general working capital.
