GOLDHILLS ANNOUNCES CHANGE OF DIRECTORS

Vancouver, BC/ October 24, 2024 Goldhills Holding Ltd. (TSX-V: GHL) (FRANKFURT: GRYA) (the

"Company") announces that Rupert Williams has resig ned from his position as a director, and that

replacing him on the Board of Directors is Robert W ayne Morgan. The Board of Directors would like to

thank Mr. Williams for all of his work as a director of the Company.

Mr Morgan was formerly both a stock broker and comm odity broker. He has extensive experience in

raising capital, mergers and acquisitions in the mining industry for over forty years.
