GLOBAL ENERGY METALS PROPOSES TO EXTEND WARRANTS

Metals” , the “Company” and/or “GEMC”) , a mul’-jurisdic’onal, mul’-

commodity cri’cal mineral explora’on and development company focused on

growth-oriented metal projects suppor’ng the global transi’on to clean

energy, proposes to extend the expiry date of previously issued warrants (the

“Incen’ve Warrants”) to purchase up to 7,280,250 common shares at an

exercise price of $0.15 per share. These warrants were issued in connec’on

with a warrant incen’ve program (the “Incen’ve Program”) that en’tled

warrant holders to purchase one common share of the Company for a period

of 12 months from the date of issuance of such Incen’ve Warrant, at a price

of $0.15. If accepted by the TSX Venture Exchange, the Company will extend

the expiry date of the share purchase warrants for one addi’onal year from

the ’me of issuance. All other terms and condi’ons of the Incen’ve Warrants

will remain unchanged.

Insiders of the Company par’cipated in the Incen’ve Program and, as a

result, the Incen’ve Program may cons’tute a "related party transac’on"

within the meaning of Mul’lateral Instrument 61-101 - Protec’on of Minority

Shareholders in Special Transac’ons ("MI 61-101"). The Company relies on

the exemp’ons from the formal valua ’on requirements of MI 61-101

contained in sec’on 5.5(a) and (b) of MI 61-101 on the basis that the fair

market value of the transac’on with insiders will not be more than 25% of the

market capitaliza’on of the Company and no securi’es of the Company are

listed on a specified market set out in such sec’on, and the Company further

relies on the exemp’on from the minority shareholder approval requirements

of MI 61-101 contained in Sec’on 5.7(1)(a) of MI 61-101 on the basis of the

fair market value of the transac’on with insiders will not be more than 25% of

the market capitaliza’on of the Company.
