CLOSING OF THE EARLY WARRANT INCENTIVE PROGRAM
Vancouver, BC / TheNewswire / March 1, 2023 / Global Energy Metals Cor-
poraCon TSXV:GEMC | OTCQB:GBLEF | FSE:5GE1 (“Global Energy Metals” ,
the “Company” and/or “GEMC”), a company involved in the investment ex-
posure to the ba7ery metals supply chain, is pleased to announce that, fur-
ther to its press release dated February 7, 2023, it has received gross pro-
ceeds of $582,420 from the exercise of 7,280,250 share purchase warrants at
$0.08 per share pursuant to its early warrant exercise incenEve program (the
“Program”).

As an incenEve for the early exercise of their share purchase warrants, war-
rant holders received an addiEonal 7,280,250 new share purchase warrants
(each an “IncenEve Warrant”). Each IncenEve Warrant enEtles the holder to
purchase one common share of the Company for a period of 12 months from
the date of issuance of such IncenEve Warrant, at a price of $0.15. The Incen-
Eve Warrants are subject to a four month hold period from the date of is -
suance.
The IncenEve Warrants are also subject to an accelerated expiry if the volume
weighted average price of the common shares is greater than or equal to
$0.20 for any 10 consecuEve trading days and, if the Company has given no-
Ece, the IncenEve Warrants will expire 30 days following the date of such no-
Ece.
The balance of the warrants not exercised under the Program will remain out-
standing and conEnue to be exercisable for common shares of the Company
on their current terms, unEl the 15th of March, 2023 at which Eme any War-
rants that remain unexercised will expire and be cancelled.
Insiders of the Company parEcipated in the IncenEve Program and, as a re-
sult, the IncenEve Program may consEtute a "related party transacEon" with-
in the meaning of MulElateral Instrument 61-101 - ProtecEon of Minority
Shareholders in Special TransacEons ("MI 61-101"). The Company relies on
the exempEons from the formal valuaEon requirements of MI 61-101 con-
tained in secEon 5.5(a) and (b) of MI 61-101 on the basis that the fair market
value of the transacEon with insiders will not be more than 25% of the market
capitalizaEon of the Company and no securiEes of the Company are listed on
a specified market set out in such secEon, and the Company further relies on
the exempEon from the minority shareholder approval requirements of MI
61-101 contained in SecEon 5.7(1)(a) of MI 61-101 on the basis of the fair
market value of the transacEon with insiders will not be more than 25% of the
market capitalizaEon of the Company.
The IncenEve Program is subject to the final acceptance of the TSXV .
