MONUMENT PEAK SILVER COPPER GOLD PROJECT, IDAHO

“GEMC”), a mul’-jurisdic’onal, mul’-commodity cri’cal mineral explora’on, development and
project genera’ng company focused on growth-oriented projects suppor ’ng the global
transi’on to the new energy economy, is pleased to announce that it, amongst others,
(collec’vely with GEMC, the “Op’onors”) has entered into an arm’s length op’on agreement
dated April 24, 2026 (the “Op’on Agreement”) with Grounded People Apparel Inc. traded on
the CSE under symbol SHOE (the “Op’onee” and/or “Grounded”), to advance explora’on and
development at the Company’s 50% owned Monument Peak silver–copper–gold project (the
“Monument Peak Project” or the “Project”) located in Lemhi County, Idaho, USA.
Pursuant to the Op’on Agreement, the Op’onee has been granted a mul’-stage op’on over a
four-year term to acquire the Op’onor’s 100% interest in the Monument Peak Project, subject
to a 1.0% net smelter returns royalty (the “NSR Royalty”) retained by the Company. As
considera’on for vending its interest in the Monument Peak Project, Global Energy Metals will
be en’tled to receive $650,000 in cash and $750,000 in common shares of Grounded People
Apparel Inc. in staged payments and issuances, in addi ’on to a minimum of $250,000 in
explora’on expenditures to be incurred by the Op ’onee within the first year . The Op’on
Agreement also provides the Op’onee the right to purchase one-half of the original NSR
Royalty held by GEMC (the “Buy Back Right”) for cash considera’on of $1,000,000 payable to
GEMC, if exercised prior to the fi_h anniversary of the effec’ve date of the Op’on Agreement
(the “Effec’ve Date”) and for $2,000,000 payable to GEMC, if exercised on or a _er the fi_h
anniversary of the Effec’ve Date. No finder’s fees were paid in associa’on with this transac’on.
The proposed transac’on is expected to provide Global Energy Metals with non-dilu ’ve
exposure to explora’on success at Monument Peak through a combina’on of cash payments,
equity considera’on, explora’on expenditures, and a retained royalty interest.
Proposed TransacOon Highlights
• Four-Year Earn-In Structure: The Op:onee may earn a 100% interest in the Monument
Peak Project held by the Op:onors through staged cash payments, equity issuances, and
explora:on commitments over a four-year period.
• Retained Royalty: GEMC will retain a 1.0% NSR Royalty on the Project upon exercise of
the op:on subject to a buy back right.

• Non-Dilu8ve Considera8on: The structure provides exposure to Project upside through
cash, equity par:cipa:on, and explora:on funding without shareholder dilu:on at the
Company level.
• Investor Rights Agreement: Following the Closing Date, the Company will enter into an
investor rights agreement to formalize its strategic investment by securing the right to
appoint a nominee to the Op :onee’s board of directors, thereby ensuring ongoing
oversight, alignment on key decisions, and the ability to ac :vely contribute to the
Op:onee’s growth and governance.
